Nevada requires a registered agent to be able to accept service of process (Summons and Complaint typically during normal business hours). Even if your registered agent does not accept service, the lawsuit may be able to move forward. Other examples are the ability to accept garnishments or other notices from the courts and government agencies. Nevada requires that an agent is available to receive these important notices at all reasonable times in order to protect residents and businesses alike. 

Failure to appoint a registered agent may affect good standing of your company in Nevada. Additionally, you and your company lose the ability to assert your rights in a lawsuit in the event that your company cannot accept services of process.

Designating yourself or another owner of the company as the registered agent may look like a good idea, but there are several potential issues to consider. A registered agent must be available to accept service during normal business hours by having a physical presence in the state in order to receive service of process an other correspondence from various state agencies. If your registered agent is unable to accept service of process documents, then you and your company may lose your right to defend yourself in a lawsuit or miss important filing dates from government agencies. 

Additionally, the address will be public knowledge, and cannot be a post office box. As a result, your privacy is also at risk, and it is usually rare to be able to be available at your residence during normal business hours. Furthermore to privacy concerns, there are record retention requirements of the registered agent. 

A registered agent is mandatory to comply with Nevada law, as is updating the information with the secretary of state. There are a number of potential issues and penalties that can be imposed for failing to appoint a registered agent. 

Further, if your registered agent is not competent, you and your comapny run the risk of losing the ability to assert your rights in litigation and potentially lost the entire case through default. 

Regular records must be maintained with the secretary of state and other agencies, and failure to comply with these requirements will also subject your company to penalties, which cost both time and money to correct. 

At a minimum, your registered agent should provide the following: 

  • Local presence with available customer service
  • Physical presence in a commercial location during regular business hours to maintain the legal requests of your company.
